Every May, payroll inboxes fill up with the same mail: "Sir/Madam, please share Form 16." Half the senders want it before Q4 Form 24Q is even filed. Part A is not on TRACES yet, so there is nothing to download. This post is the practical side of how to generate Form 16, get Part B right from payroll, sign it, and issue it by 15 June without that scramble.
For salary paid in financial year 2025-26 the certificate is still Form 16, due by 15 June 2026. From 1 April 2026 (tax year 2026-27) the same certificate is Form No. 130 under the Income-tax Rules, 2026. People will keep typing "Form 16" into Google. We use that name here and flag the rename where the paperwork actually changes. The short definition sits in the Form 16 glossary.
This is written for whoever handles TDS on salary at a 50 to 500 person company that has no separate tax team. If you just need the TRACES steps, jump to how to generate Form 16 from TRACES. If this is your first Form 130 year, start with which form applies.
Nothing here is tax advice. The Income-tax Act, 2025 replaced the Income-tax Act, 1961 on 1 April 2026, and the Income-tax Rules, 2026 replaced the 1962 Rules on the same day. Section numbers below are from the 2025 Act unless the 1961 Act is named. Law as at 30 October 2026.
Form 16 or Form 130: which one applies?
The form follows the tax year of the salary and the TDS, not the month you generate the PDF.
Salary paid in FY 2025-26 and earlier: section 203 of the Income-tax Act, 1961, Form 16, rule 31 of the 1962 Rules. Due date is 15 June of the financial year right after the year of payment. So Form 16 for 2025-26 goes out by 15 June 2026.
Salary paid from tax year 2026-27: section 395(4)(b) of the Income-tax Act, 2025, Form No. 130, rule 215(1) of the 2026 Rules (Table serial number 1). Same shape of due date: 15 June of the financial year after the tax year. Form 130 for 2026-27 is due by 15 June 2027.
The department's Form 130 FAQ says Form 130 replaces Form 16. Same purpose. Form number changed, the sections printed inside changed, and Part C is now a clear annexure on the face of the form instead of the old Part B layout.
Come 2027, employees will still ask for Form 16. Issue Form 130 and tell them it is the new name. A home-made PDF labelled Form 16 for tax year 2026-27 is not valid. Download from TRACES. Offline PDFs are not legal Form 130.
| Salary paid in | Certificate | Act and rule | Due date |
|---|---|---|---|
| FY 2025-26 | Form 16 | Section 203 of the 1961 Act, rule 31 of the 1962 Rules | 15 June 2026 |
| Tax year 2026-27 onwards | Form 130 | Section 395(4)(b) of the 2025 Act, rule 215(1) of the 2026 Rules | 15 June of the following financial year |
What is inside Form 16 and Form 130?
Form 16 has two parts. Part A has TAN, PAN, the quarterly TDS totals and the challan or book-adjustment numbers. That is what TRACES builds from your Form 24Q filings. Part B is the salary computation: gross salary, exemptions, Chapter VI-A deductions, taxable income, tax and TDS.
Form 130 splits the same ground into three parts:
- Part A: employer (or specified bank) and employee (or specified senior citizen) details.
- Part B: summary of amount paid or credited and tax deducted, deposit particulars through challan or book adjustment, and a declaration.
- Part C: two annexures. Annexure-I is the detailed salary computation under section 392 (gross break-up, exemptions, deductions, taxable income, tax, relief under section 157, TDS/TCS, net tax). Annexure-II is only for specified senior citizens under section 393(1) Table serial number 8(iii).
For a normal salaried employee, Part C Annexure-I is what you used to call Part B.
If someone worked for two employers in the year, each issues Part A and Part B for its own period. Under rule 215(2), Part C can come from each employer or from the last one, at the employee's option. Do not attach the certificate to the return. Wrong quarterly statements mean Form 26AS will not match. Fixes: why Form 16 and Form 26AS don't match.
Who must issue Form 16, and by when?
If you deducted tax from salary, you issue the certificate by 15 June. That is section 192 of the 1961 Act for 2025-26, and section 392 of the 2025 Act from 2026-27. Once tax is deducted and deposited, the certificate is mandatory. The Form 130 FAQ says the same for the new form.
Weekends do not move the date. A late Q4 statement does not move it either. Miss it and the daily penalty in the 15 June penalty section starts ticking.
You cannot pull the certificate until the year's quarterly TDS statements are filed and processed. Form 16 needs Form 24Q with annexures; Form 130 needs Form 138. No statement, no download. That is how the certificate is built, not a TRACES quirk.
Wrong certificate? File a revised TDS statement, wait for processing, download again, re-issue. Editing the PDF in Acrobat is not a correction the department accepts.
How do you generate Form 16 from TRACES?
TRACES (tdscpc.gov.in) is where both Form 16 and Form 130 are requested. Match the form to the tax year. For a while after Form 130 goes live, some screens may still say Form 16. Read the year, not the habit.
What usually trips people in May: they request Part A while Q4 24Q is still pending. The request sits or comes back incomplete. File Q4, wait for processing, then download.
- Log in as the deductor (User ID, password, TAN).
- Go to Downloads → Form 16 (or Form 130 when listed). Pick the financial year / tax year.
- A few PANs: enter each, Add, then Go (cap of ten on that screen). Whole company: Bulk PAN Download.
- Check the preview, submit, pick DSC-based validation or Normal Validation. Save the request reference number.
- Downloads → Requested Downloads. When status is ready, pull the Part A and Part B ZIP files.
- Download this year's TRACES PDF Generation Utility. There are separate utilities for Part A and Part B. Point each at its ZIP and generate the PDFs.
- If you chose DSC validation, affix the digital signature in the utility. Otherwise print and sign.
That is the only valid route. A Word merge from Excel is useful as a working paper. It is not Form 16, and from 2026-27 it is not Form 130 either.
How do you prepare Part B from payroll?
Part A mostly mirrors what you already put into the quarterly statements. Part B (Part C Annexure-I under Form 130) is the year's salary computation. TRACES prints what you filed. Get it right in payroll before Q4 goes in.
Close March. Lock each employee's allowed exemptions and deductions against the proofs under Form 12BB (2025-26) or Form 124 (2026-27). Our post on Form 12BB and Form 124 walks that cycle. Reverse anything declared and never proven. A dead 80C claim left in the annexure is how Part B and actual TDS fall out of line.
Then build the Q4 salary annexure. Gross, perquisites, HRA, LTA, standard deduction, Chapter VI-A or Chapter VIII deductions, tax, cess, relief under section 89 or 157, TDS deducted and deposited: match payslips and challans. File Q4, wait for processing, then request the download.
If payroll can spit out the Part B (or Form 130 Part C Annexure-I) figures from the year's salary and allowed claims, use that feed. Re-typing those numbers into a sheet for the TDS return is where most Form 26AS mismatches begin.
How do you sign and issue Form 16 to employees?
Rule 215(4) of the 2026 Rules lets you authenticate Form 130 with a digital signature. Same option has long been there for Form 16. Rule 215(5): once signed, content must not be open to change; each certificate needs a control number; keep a log of those numbers. Wet-ink on a printout is still fine. Past a few dozen employees, DSC through the TRACES utility is the saner path.
Issued means the employee has it. Mail the signed PDF to the official ID, or drop it in self-service with a download trail. Keep who / when / reference number. Lost original? Mark the duplicate as duplicate. For Form 130 the duplicate also comes from TRACES. Preserve it for records; do not attach it to the return.
A worked timeline for FY 2025-26
Company with 80 employees on rolls in March 2026, all with some TDS in 2025-26. Q1 to Q3 Form 24Q already filed. Q4 due in May.
First week of April: March closes, year's allowed claims freeze. Three people still have unproven section 80C declarations; those come off. Two joiners from January get Part A and Part B from this company for January to March only. Their previous employer covers April to December.
Mid-May: Q4 Form 24Q with the salary annexure is filed and processed. Last week of May: payroll lead runs Bulk PAN Download for Form 16, FY 2025-26. Part A and Part B utilities spit out the PDFs. DSC in batches. First week of June: each employee gets the signed Form 16 by mail, with a one-liner to match Form 26AS and AIS before filing. By 15 June the log shows 80 of 80. Clean year.
Change one fact. Annexure still being patched, so Q4 goes in on 10 June. Download ready on 18 June. Certificates out on 20 June. Five days late, 80 certificates. Under section 272A(2)(g) of the 1961 Act the daily rate is ₹500 (raised from ₹100 by the Finance Act, 2022, with effect from 1 April 2022). Exposure before the per-certificate cap: 80 × ₹500 × 5 = ₹2,00,000. Each certificate's penalty cannot exceed the tax deductible for that employee, so the real bill may be lower where TDS was small. Still a painful way to learn that the annexure belongs in May, not June.
Why don't Form 16 and Form 26AS match?
Form 26AS is the employee's tax credit statement. AIS is the wider pack that also carries TDS credit. When someone says Form 16 and Form 26AS don't match, we usually find one of these:
- Wrong PAN, wrong challan or wrong amount on the quarterly TDS statement for that employee. File a correction, wait, re-download, re-issue.
- Tax deducted but deposited against the wrong TAN, or the challan never mapped to the statement. Map the challan on TRACES, then correct.
- Employee comparing the wrong year, or putting Part B taxable salary next to a Form 26AS line that only shows TDS. Sit with both screens once. Most of these die there.
Cheaper to catch this before you issue. After Q4 is processed and before Bulk Download, spot-check Form 26AS for joiners, leavers and anyone whose TDS moved mid-year.
Regime mix-ups land here too. Employee had HRA and 80C under the old regime all year, then files under the default regime. Form 16 will not match the return. That is not a Form 16 bug. Our guide to TDS on salary under the old and new regimes covers the slabs. Confirm the regime on record is the one applied, and Part B shows only claims that regime allows.
Common mistakes when issuing Form 16
- Requesting the download before Q4 is processed. Request hangs, or the final quarter is missing.
- Part B still carrying unproven claims. You reversed them for TDS in January but left them in the annexure.
- Last year's PDF utility on this year's ZIP. Grab the current utility every year.
- Sending Part A alone, or Part B alone. Under Form 130 they need Part A, Part B and Part C Annexure-I.
- Skipping leavers. Someone who left in August still needs April to August, due by the same 15 June.
- Joiners who had a previous employer. Issue your own Part A and Part B for your period. They can ask the last employer for a consolidated Part B (or Part C under Form 130).
- Fixing a wrong certificate by editing the PDF. Revised TDS statement, wait, download again.
- No control-number log after DSC. Rule 215(5) expects that log for Form 130.
What is the penalty for missing the 15 June deadline?
Form 16 under the 1961 Act: failure to furnish the certificate required by section 203 attracts penalty under section 272A(2)(g). The rate is ₹500 for every day the failure continues. Finance Act, 2022 substituted "five hundred rupees" for "one hundred rupees" in section 272A(2), with effect from 1 April 2022. The Income Tax Department's Form 16 page states the same ₹500 figure. The proviso to section 272A(2) caps the penalty at the tax deductible for that certificate.
Form 130 under the 2025 Act: failure to furnish a certificate under section 395(4) attracts penalty under section 465(2)(g) of ₹500 a day. Section 465(3)(b) caps it at the tax deductible for that certificate.
It runs per certificate, per day. Ten days late on Form 130 for 100 employees is 100 × ₹500 × 10 = ₹5,00,000 before the per-certificate caps. The Assessing Officer has to levy it, but you do not want that file open. Late filing of the TDS statement has its own late fee. On-time Q4 is what makes an on-time certificate possible.
Running the issue without spreadsheets
The certificate is only as good as the year's payroll. Declarations in one sheet, proofs in a drive folder, TDS in another workbook, annexure built by hand in May: that is how June becomes a reconciliation week. One system for salary, claims and TDS means June is mostly a download.
In a clean cycle the claims that drove TDS from April to March are the same figures in the Q4 annexure. No re-typing. Leavers and joiners are already on the bulk list. When TRACES returns the ZIP, signed PDFs go out from the same record that holds the payslips.
Engage payroll keeps salary, allowed claims and TDS together, so Part B / salary-annexure figures come straight from payroll and can match Form 24Q. Confirm the bulk issue path against your headcount before June. Pricing is on the site. For a mid-year tax estimate, the TDS calculator is enough. The certificate itself still comes only from TRACES.
Form 16 questions
What is the due date to issue Form 16?
15 June of the financial year immediately following the year in which the salary was paid and tax was deducted. For FY 2025-26 that is 15 June 2026. For tax year 2026-27 (Form 130) it is 15 June 2027.
Is Form 16 still valid after Form 130 comes in?
Form 16 stays the right certificate for FY 2025-26 and earlier. A Form 16 issued for 2025-26 remains valid for that year. From tax year 2026-27 the salary TDS certificate is Form 130. Do not issue Form 16 for 2026-27.
What is the difference between Form 16 Part A and Part B?
Part A is identity and TDS deposit summary: TAN, PAN, quarterly tax deducted and deposited, challan particulars. Part B is the salary computation: gross, exemptions, deductions, taxable income, tax. Under Form 130 that ground is Part A, Part B and Part C Annexure-I.
Does an employer have to issue Form 16 if no tax was deducted?
No. The certificate is for tax deducted at source. The department's Form 16 page and the Form 130 FAQ both tie the obligation to cases where tax has been deducted and deposited. An employee whose income stayed below the taxable limit will have nothing to download from TRACES. If they need proof of income for a loan or a new employer, give a salary certificate on letterhead. That is not Form 16.
Can I issue Form 16 without filing Form 24Q?
No. TRACES builds the certificate from the processed quarterly statements: Form 24Q for Form 16, Form 138 for Form 130. No statement, no download. A certificate prepared outside TRACES is not valid.
How do I download Form 16 in bulk from TRACES?
Log in as deductor → Downloads → Form 16 → Bulk PAN Download for the year. Submit, note the reference, collect the ZIP under Requested Downloads. Run the Part A and Part B utilities, sign, issue. Same bulk path should apply to Form 130 once the portal lists it.
What if Form 16 and Form 26AS do not match?
Usually a bad line on the quarterly TDS statement, or an unmapped challan. Correction statement, wait for processing, download again, re-issue. Do not edit the PDF.
Do I need to issue Form 16 to an employee who left mid-year?
Yes, for the period they worked with you and had tax deducted. Due date is still 15 June after year-end. Issue Part A and Part B for your period. Any other employer issues their own.
Is a digitally signed Form 16 mandatory?
No. Digital signature is allowed. For Form 130, rule 215(4) says so expressly, and rule 215(5) sets the control-number and log conditions. A manually signed printout is also valid. What is mandatory is that the certificate came from TRACES, not from a home-made file.
Form 16 checklist before 15 June
Do these in order. Finish early. The due date is not a planning date.
- Close March payroll. Freeze allowed claims. Reverse anything declared and not proven.
- Prepare and file the Q4 TDS statement with the salary annexure in May, not June.
- Wait for TRACES to process it. Then request the bulk download for the right form and year.
- Spot-check Form 26AS for joiners, leavers and anyone whose TDS changed mid-year.
- Generate PDFs with this year's TRACES utility, sign, issue, keep the delivery log.
Already thinking about tax year 2026-27? Update the internal checklist from Form 16 to Form 130 and from Form 24Q to Form 138, so nobody hunts for last year's form in May 2027.
If TDS, proofs and the annexure still live in separate sheets, our payroll software keeps them with the payslips. Monthly dates: payroll compliance checklist.

Nothing above is tax advice. The worked example in the timeline section uses illustrative headcount and ignores interest and late fees on the TDS statement itself. Per-certificate penalty caps can reduce the headline exposure where an employee's TDS is below the uncapped daily total.
